Terms & Conditions
Welcome to ZAPPOY. These Terms & Conditions establish the general commercial, technical, service, hardware, subscription, support, warranty, outright-purchase, and Hardware-as-a-Service ("HaaS") framework applicable to Zappoy services.
The terms applicable to a particular customer are also determined by the customer's quotation, invoice, purchase order, subscription confirmation, service agreement, warranty document, and, where applicable, the executed HaaS/Rental Service Agreement.
For hardware supplied under a HaaS, rental, leasing, or similar equipment-use arrangement, the executed HaaS/Rental Service Agreement is the primary transaction document for rental-specific matters including hardware ownership, custody, rental charges, payment default, equipment damage, return, de-installation, recovery, termination, and related obligations.
1. Scope, Acceptance & Definitions
By accessing Zappoy's website, portals, customer interfaces, service channels, or by purchasing, subscribing to, renting, or otherwise using Zappoy services, you acknowledge that these terms may apply to the relevant service relationship.
- Hardware includes smart switches, relay modules, gateways, IR blasters, touch panels, sensors, controllers, and other supported automation equipment.
- Subscription means a recurring service, support, maintenance, cloud-mapping, or rental arrangement.
- HaaS means Hardware-as-a-Service, under which Zappoy retains ownership of applicable physical equipment.
- Outright Purchase means a one-time hardware sale in which ownership transfers according to the applicable sale/invoice terms.
- Lifetime Service & Support means continuing technical/service assistance for supported Zappoy systems; it does not mean lifetime free hardware replacement.
2. Zappoy Service Models
Zappoy may operate through two distinct commercial structures: Outright Purchase and Hardware-as-a-Service / Rental.
| Commercial Model | Hardware Ownership | Warranty / Service | Non-Payment Effect |
|---|---|---|---|
| Outright Purchase | Buyer owns the purchased hardware after the applicable purchase conditions are fulfilled. | Applicable hardware/vendor warranty plus Lifetime Service & Support where included. | Non-payment of an optional support/AMC subscription does not transfer purchased hardware ownership back to Zappoy. |
| HaaS / Rental | Zappoy retains ownership of the rented equipment unless the applicable agreement expressly provides otherwise. | Governed primarily by the applicable HaaS/Rental Service Agreement and its service terms. | Default may result in service suspension and termination/ equipment-return procedures according to the executed agreement and applicable law. |
3. Subscription, Setup, Joining & Billing
- Setup, joining, integration, configuration, and onboarding charges may be non-refundable where expressly identified as such in the applicable quotation or invoice.
- Physical installation may carry a separate labor or engineer charge.
- Subscription billing frequency is determined by the applicable plan, quotation, invoice, or service agreement.
- Taxes, including GST, are applied according to the applicable pricing document and Indian tax requirements.
- Customers are responsible for keeping payment information and billing details current.
- Payment disputes should be raised promptly with Zappoy through the official communication channel.
4. Outright Hardware Purchase
For a completed outright hardware purchase, ownership of the purchased physical hardware belongs to the buyer according to the applicable sale, invoice, and payment terms. Zappoy does not treat an optional support subscription as a rental of already-purchased hardware.
- Outright purchases may be accompanied by a GST tax invoice.
- Hardware pricing and specifications are determined by the applicable quotation, product page, invoice, or purchase documentation.
- Optional support, maintenance, AMC, cloud-mapping, or service subscriptions are separate from hardware ownership unless the applicable commercial document expressly combines them.
- Cancellation or non-payment of an optional support subscription does not itself create a repossession right over hardware already purchased and paid for by the customer.
- Continued functionality of third-party cloud platforms, applications, APIs, or external services is subject to those third parties' availability and terms.
5. Hardware Warranty for Outright Purchases
Hardware supplied under an outright purchase may carry a limited hardware warranty of up to one (1) year, depending on the particular hardware, manufacturer, OEM, vendor, product documentation, invoice, quotation, or written warranty applicable to that product.
The exact applicable warranty period is therefore determined by the specific hardware and its applicable warranty documentation. A one-year period is not a representation that every third-party/OEM product necessarily carries an identical manufacturer's warranty.
The hardware warranty is intended for qualifying outright-purchased hardware. It is not a representation that Zappoy-owned HaaS/rental equipment is sold to the subscriber or receives a separate purchaser warranty.
Where a manufacturer, OEM, or vendor provides the applicable hardware warranty, that manufacturer's/vendor's warranty terms govern the relevant third-party hardware. Zappoy may assist with diagnosis, warranty coordination, RMA communication, and service handling where reasonably available.
6. Warranty Exclusions & Damage
Warranty coverage generally concerns qualifying manufacturing defects or covered hardware failures under normal intended use. Unless the applicable written warranty states otherwise, the following may fall outside warranty coverage:
- physical damage;
- water, liquid, or moisture damage;
- fire or environmental damage;
- electrical surge, abnormal voltage, or unsuitable power;
- incorrect load or electrical installation;
- unauthorized modification or repair;
- misuse, negligence, or accidental damage;
- third-party installation that causes damage;
- operation outside rated specifications;
- damage caused by incompatible external equipment;
- normal wear or consumable components;
- events outside reasonable control.
If damage results from customer misuse, physical impact, liquid ingress, incorrect electrical work, unauthorized modification, unsuitable power, excessive electrical load, negligence, or another excluded cause, the applicable repair, replacement, logistics, labor, or engineer charges may be payable by the customer.
7. Lifetime Service & Support
Zappoy may provide continuing technical assistance, troubleshooting, configuration assistance, supported web-app assistance, device mapping support, service coordination, and related technical support for supported Zappoy systems during their useful operational life, subject to the applicable service terms.
Lifetime Service & Support is separate from hardware warranty and does not constitute a lifetime hardware replacement guarantee.
Lifetime Service & Support may depend on reasonable customer access, system compatibility, availability of required infrastructure, third-party cloud services, vendor support, replacement components, engineer availability, and other operational factors.
Hardware replacement after expiry of the applicable warranty may therefore be chargeable even where Lifetime Service & Support remains available.
8. Hardware-as-a-Service (HaaS) / Rental
Under a HaaS or rental arrangement, the physical equipment remains owned by Zappoy unless the applicable executed agreement expressly transfers ownership.
The subscriber receives authorized use and custody of the equipment for the agreed rental/service period and does not acquire ownership merely by paying recurring rental charges.
The customer is responsible for reasonable care and custody of Zappoy-owned equipment installed at the customer's premises.
The customer's custodial responsibility continues during the applicable rental period and until equipment is properly de-installed, returned, and acknowledged by Zappoy or its authorized representative.
9. HaaS / Rental Service Agreement Priority
For HaaS/rental customers, the executed HaaS/Rental Service Agreement, together with the applicable quotation, schedule, asset list, invoice, and service documents, governs the specific rental transaction.
In the event of a conflict concerning rental-specific matters, the executed HaaS/Rental Service Agreement will control to the extent permitted by applicable law.
10. HaaS Payment Default & Service Suspension
HaaS customers must pay the rental and service charges according to their executed agreement.
Where the applicable HaaS/Rental Service Agreement defines continuous payment default, including a three-consecutive-month default period, the contractual remedies specified in that agreement may become available after the applicable notices, grace periods, and other contractual requirements are satisfied.
- service access may be suspended according to the agreement;
- cloud/app mapping or managed-service functions may be suspended where contractually permitted;
- the rental agreement may be terminated according to its termination provisions;
- Zappoy may require return and de-installation of its equipment;
- recovery of equipment will be performed according to the executed agreement and applicable law.
Any equipment recovery, site access, de-installation, or repossession process is subject to the executed HaaS/Rental Service Agreement, applicable notice requirements, customer cooperation, and applicable law. Nothing in these website terms authorizes unlawful entry or conduct.
11. HaaS Hardware Damage, Loss & Replacement
Because HaaS equipment remains Zappoy property, the subscriber is responsible for reasonable custody and care of the equipment during the rental period.
- Customer-caused physical damage may result in repair or replacement charges.
- Liquid or moisture damage may be chargeable.
- Electrical surge or abnormal-voltage damage may be chargeable.
- Unauthorized modification or third-party repair may be chargeable.
- Loss, theft, burglary, or destruction of rental equipment must be reported promptly.
- Where the HaaS/Rental Agreement requires documentation such as a police report for theft, the customer must comply with that requirement.
- Failure to return Zappoy-owned equipment may result in the contractual equipment value and applicable recovery costs becoming payable.
If a Zappoy-owned rental device is damaged through misuse, physical impact, liquid exposure, improper electrical installation, unauthorized modification, negligence, intentional damage, or another customer-controlled cause, Zappoy may charge the reasonable cost of repair, replacement, spare parts, transportation, engineer labor, installation, or other directly applicable service costs, subject to the applicable HaaS/Rental Service Agreement and law.
12. HaaS De-Installation & Return
Upon expiry or lawful termination of a HaaS/rental arrangement, the customer must cooperate with the agreed de-installation and return process.
Equipment should be returned in the condition reasonably consistent with ordinary authorized use, excluding documented normal wear where applicable.
A signed or digitally recorded handover confirmation may be used to document the return of equipment and its condition.
13. Smart Life, Tuya & Third-Party Applications
The Smart Life application and its associated third-party ecosystem are not owned by Zappoy. Zappoy does not represent itself as the owner, developer, operator, or controller of Smart Life.
Zappoy may independently integrate, configure, install, support, or troubleshoot compatible products that operate through third-party IoT ecosystems.
Customers using Smart Life or another third-party platform are also subject to the applicable third-party platform's terms, privacy policy, account rules, availability, security practices, API limitations, and service changes.
Zappoy cannot guarantee continued availability of a third-party cloud platform, application, API, firmware service, or account function that is outside Zappoy's direct control.
14. Vendor, OEM, ODM & White-Label Hardware
Zappoy may source or integrate compatible products manufactured by Indian manufacturers, OEMs, ODMs, distributors, vendors, or white-label suppliers.
A product being integrated, sold, installed, or supported by Zappoy does not by itself make Zappoy the manufacturer of that product.
Where a third-party manufacturer provides the applicable hardware warranty, the manufacturer's warranty terms govern the relevant product.
Zappoy may act as an engineering, installation, support, or warranty-coordination interface where commercially and technically appropriate.
15. Installation & Electrical Requirements
Smart automation equipment must be installed according to applicable electrical ratings, manufacturer instructions, product specifications, and safe installation practices.
- Electrical loads must remain within the rated capacity of the applicable device.
- Heavy inductive loads may require suitable contactors or dedicated control equipment.
- External wiring and building electrical infrastructure remain subject to the customer's property and electrical system.
- Damage caused by an unsuitable electrical installation may fall outside hardware warranty.
- Zappoy may recommend qualified/certified engineers for installation and commissioning.
16. Pan-India Support & Engineer Services
Zappoy may provide Pan-India technical support subject to engineer availability, logistics, location, service coverage, replacement-part availability, and third-party dependencies.
Engineer visits, onsite diagnosis, transportation, emergency dispatch, or other physical services may carry applicable charges where not covered by the customer's active service arrangement or warranty.
Service response and resolution times may vary according to the severity of the issue, location, infrastructure, parts availability, third-party services, and customer access.
17. Suspension of Optional Support Services
For an outright purchaser, hardware ownership remains with the buyer even if an optional Zappoy support, AMC, cloud-management, or maintenance subscription is discontinued or unpaid.
Depending on the applicable service architecture, suspension of the optional subscription may result in suspension of managed support, app mapping, remote assistance, cloud configuration, priority service, or other subscription benefits.
Basic local/manual hardware functionality may remain available where technically supported by the hardware itself.
18. Outright Purchase Returns & Defects
Returns, replacements, refunds, and RMA procedures for outright purchases are governed by the applicable quotation, invoice, product-specific return policy, warranty terms, and applicable law.
Installed, wired, configured, customized, or used equipment may be subject to different return conditions from unopened products.
A verified manufacturing defect may qualify for repair or replacement under the applicable warranty/RMA process.
19. Third-Party Installation
Customers are encouraged to use Zappoy-authorized or appropriately qualified installation personnel for supported systems.
Where a customer independently appoints a third-party installer, Zappoy may not be responsible for damage caused by that installer's workmanship, incorrect wiring, incorrect load calculations, unauthorized modifications, or other actions outside Zappoy's control.
20. Customer Responsibilities
- Provide accurate account and property information.
- Provide reasonable access for authorized installation and maintenance work.
- Maintain suitable electrical and network infrastructure.
- Protect account credentials.
- Avoid unauthorized modification of installed equipment.
- Promptly report faults, damage, theft, or security incidents.
- Make payments according to the applicable agreement.
- For HaaS equipment, maintain reasonable custody of Zappoy-owned assets.
21. Third-Party Cloud, Internet & Infrastructure Dependencies
Automation services may depend on electricity, Wi-Fi, broadband, routers, internet service providers, cloud platforms, mobile networks, APIs, firmware services, app stores, voice assistants, and manufacturer infrastructure.
Zappoy is not responsible for outages, restrictions, changes, discontinuation, security incidents, or failures caused solely by infrastructure or services outside Zappoy's reasonable operational control.
22. Privacy & Data Protection
Zappoy's handling of personal and operational information is described in the separate Privacy Policy .
Customers should review the Privacy Policy together with these Terms & Conditions. Third-party platforms may independently process information according to their own privacy policies.
23. Intellectual Property
Zappoy's website, proprietary interfaces, software components, configuration materials, documentation, graphics, trademarks, service materials, and other proprietary content remain subject to applicable intellectual-property rights.
Nothing in these terms transfers ownership of Zappoy intellectual property or third-party intellectual property to the customer unless expressly stated in writing.
24. Service Limitations
Zappoy aims to provide reliable automation engineering and support services but cannot guarantee uninterrupted availability of every device, cloud service, application, network, vendor platform, or third-party component.
Product availability, vendor supply, discontinued hardware, firmware changes, API changes, cloud-service changes, and technology compatibility may require alternative equipment, configuration, or service arrangements.
25. Liability & Operational Risk
Customers remain responsible for ensuring that connected electrical equipment is operated within safe and manufacturer- specified ratings.
Zappoy should not be treated as an insurer of customer property, electrical infrastructure, network infrastructure, or third-party cloud services.
Nothing in these terms is intended to exclude or limit any consumer or statutory rights that cannot lawfully be excluded or limited.
26. Events Beyond Reasonable Control
Zappoy is not responsible for delay or non-performance caused by circumstances beyond reasonable control, including major infrastructure failures, natural disasters, fire, flood, governmental restrictions, widespread network failures, supply-chain disruption, vendor outages, or similar events.
27. Changes to Terms
Zappoy may update these Terms & Conditions when its products, services, pricing, technology, vendor relationships, or legal requirements change.
The applicable version and any customer-specific agreement should be considered when determining the terms governing a particular transaction.
28. Commercial Document Priority
Customer-specific commercial terms may be documented through quotations, invoices, purchase orders, subscription confirmations, warranty documents, service agreements, and HaaS/Rental Service Agreements.
For HaaS/rental transactions, the executed HaaS/Rental Service Agreement has priority regarding rental-specific ownership, custody, payment default, damage, return, termination, de-installation, and recovery matters, subject to applicable law.
For outright purchases, the applicable purchase invoice, quotation, product warranty, and sale terms govern the specific hardware transaction.
29. Governing Law & Jurisdiction
These terms are intended to operate under applicable Indian law. Subject to mandatory statutory rights and any customer-specific agreement, the principal jurisdiction associated with Zappoy's registered operations is Gaya, Bihar, India.
